Terms of Use

Provider: SOP Entertainment LLC ("SOP," "we," "us," "our")
Application: SOP Dating (the "Service")

These Terms of Use ("Terms") govern your access to and use of the SOP Dating mobile application and related services. By downloading, creating an account, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

The Service is intended solely for adults. You must be at least 18 years old to access or use it. During sign-up you must provide your date of birth, and accounts indicating an age under 18 are blocked. By using the Service you represent and warrant that you are 18 or older. We may verify age and suspend or terminate any account we reasonably believe belongs to a minor.

2. Your Account

• You register with an email address or phone number and must verify it with a one-time passcode before your account becomes active.
• You are responsible for the accuracy of your profile and for all activity under your account.
• Keep your credentials secure and notify us of any unauthorized use.
• Your date of birth cannot be changed after account creation.

3. Acceptance of These Terms and the Privacy Policy

You must actively accept these Terms and the Privacy Policy to complete sign-up. Your acceptance is recorded with a version and timestamp.

4. License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use SOP Dating for your personal, non-commercial use. We reserve all rights not expressly granted.

5. Community Rules and Acceptable Use

SOP Dating is a community. You agree that you will not:

• Use the Service if you are under 18, or facilitate access by a minor;
• Harass, threaten, defame, or abuse other members, or promote hatred or discrimination;
• Impersonate any person, or create a false or misleading profile;
• Post unlawful, sexually exploitative, non-consensual, or otherwise objectionable content, or content that infringes others' rights;
• Solicit money, run scams, spam, or advertise;
• Upload photos that are not of you or that you do not have the right to use;
• Attempt to obtain another member's precise location or private information;
• Reverse engineer, disrupt, or gain unauthorized access to the Service;
• Use bots or automated means to access the Service or to send waves or messages at scale.

Our Community Guidelines (available in Settings) form part of these Terms. You can block and report members from a profile or a chat; reports are reviewed by our team, who may warn, suspend, or ban accounts.

6. Your Content

You retain ownership of the content you submit — your profile, photos, and messages ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content solely to operate, secure, and improve the Service. You represent that you have the rights to your User Content and that it complies with these Terms. Message content is stored encrypted and is not made public; we may access it only as needed to operate the Service, respond to a report, or comply with law.

7. How the Service Works

SOP Dating operates on a Discover → Wave → Match → Converse model. You discover members on the map or through search, send a wave to signal interest, and can message a member only after you have matched (a wave is accepted, or you wave at each other). Blocking removes both members from each other's discovery, waves, and conversations.

8. Messaging Allowance, Purchases, and Subscriptions

• Free allowance: each account receives a one-time 500 free messaging words at sign-up. This allowance does not expire and is reduced only by use.
• Word Top-up: a $2 one-time in-app purchase that adds messaging words to your balance. Purchased words do not expire.
• Premium subscription: a $5 per month auto-renewing subscription that provides unlimited messaging and a highlighted profile for the life of the subscription.
• Billing: all purchases are processed by Apple (StoreKit) or Google (Play Billing) under their terms. We do not process card payments directly.
• Auto-renewal: Premium renews automatically each period unless you cancel at least 24 hours before the end of the current period. Manage or cancel your subscription in your Apple or Google account settings.
• Cancellation: on cancellation you keep Premium until the end of the current paid period, then revert to word-metered messaging; any unused word balance is preserved.
• Refunds: refunds are handled by Apple and Google under their policies. Except where required by law, purchased words and used portions of a subscription are non-refundable.

Prices and inclusions are shown and confirmed before any charge.

9. Verification and the Verified Badge

Verification is optional. Completing it displays a verified badge next to your display name. A verified badge is not a guarantee of a member's identity, character, intentions, or safety, and we may revoke it if we establish abuse. Identity material you submit is treated as sensitive personal information (see the Privacy Policy).

11. Third-Party Services and App Store Terms

The Service integrates third-party services (mapping, messaging, verification, billing, analytics), each subject to its own terms. You acknowledge that these Terms are between you and SOP Entertainment LLC, not Apple Inc. or Google LLC.

For iOS (Apple): Apple has no obligation to provide maintenance or support for the Service. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list. Auto-renewable subscriptions purchased via the App Store are also governed by Apple's Media Services Terms.

For Android (Google): your use must comply with the Google Play Terms of Service, and subscriptions are governed by Google Play's terms.

12. Suspension and Termination

We may suspend, restrict, or terminate your account at any time for violations of these Terms or the Community Guidelines, for safety reasons, or as required by law. You may delete your account at any time from Settings (see our Data & Account Deletion Policy). Provisions that by their nature should survive termination will survive.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that you will find a match.

14. Limitation of Liability

To the maximum extent permitted by law, SOP Entertainment LLC and its members, managers, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, or for the conduct of any member, arising from or related to your use of the Service. Our total liability will not exceed the greater of US $100 or the amount you paid us in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless SOP Entertainment LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your interactions with other members, or your violation of these Terms or the rights of others.

16. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict-of-law rules. Subject to any mandatory rights under your local law, you agree that the state and federal courts located in Suffolk County, Massachusetts will have exclusive jurisdiction over any dispute.

17. Changes to These Terms

We may modify these Terms. Material changes will be communicated in the App or by other reasonable means, and continued use after they take effect constitutes acceptance.
